Welcome to Horizon. These Terms of Service ("Terms") govern your access to and use of Horizon's payment processing services, including our account-to-account payment technology, QR code payment solutions, and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
1. Acceptance of Terms
By registering for a Horizon account or using our Services, you represent that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
2. Description of Services
Horizon provides payment processing services that enable businesses to accept payments directly from customer bank accounts through our Pay by Bank technology. Our Services include:
- QR code generation and payment processing
- Account-to-account (A2A) payment transfers
- Payment settlement and reporting
- Fraud prevention and security monitoring
- Customer support and technical assistance
3. Account Registration and Security
To use our Services, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breaches
- Ensuring your account information remains current and accurate
4. Fees and Payment Terms
You agree to pay all fees associated with your use of the Services as outlined in your service agreement. Our standard processing fee is 0.5% per transaction, though rates may vary based on transaction volume and business type.
Transaction fees are deducted automatically from settled amounts. We reserve the right to modify our fee structure with 30 days' advance notice.
5. Prohibited Activities
You may not use our Services for any illegal or unauthorized purpose. Prohibited activities include:
- Processing payments for illegal goods or services
- Engaging in fraudulent or deceptive practices
- Violating any applicable laws or regulations
- Processing transactions without proper authorization
- Manipulating or circumventing our security measures
- Using the Services to harm, threaten, or harass others
6. Payment Processing and Settlement
Horizon processes payments through secure bank-to-bank transfers. While we strive for immediate settlement, actual settlement times may vary based on banking network availability and transaction verification requirements.
We reserve the right to hold, delay, or refuse any transaction if we suspect fraud, illegal activity, or violation of these Terms.
7. Chargebacks and Disputes
Our account-to-account payment system significantly reduces chargeback risk. However, in the event of a payment dispute, you agree to cooperate with our investigation and provide all requested documentation.
You are responsible for resolving customer disputes and maintaining accurate transaction records.
8. Data Privacy and Security
We implement industry-standard security measures to protect your data and transactions. Our Services comply with applicable financial regulations and data protection laws, including:
- Bank-level encryption for all transactions
- Compliance with PCI-DSS standards
- Regular security audits and monitoring
- Secure data storage and transmission protocols
9. Limitation of Liability
To the maximum extent permitted by law, Horizon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
Our total liability for any claim arising from your use of the Services shall not exceed the fees paid by you to Horizon in the 12 months preceding the claim.
10. Service Modifications and Termination
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time. We may terminate or suspend your account for violation of these Terms, suspicious activity, or at our discretion with reasonable notice.
You may terminate your account at any time by contacting our support team. Upon termination, all outstanding fees become immediately due.
11. Intellectual Property
All content, features, and functionality of the Services, including but not limited to software, text, graphics, logos, and trademarks, are owned by Horizon and protected by United States and international intellectual property laws.
12. Indemnification
You agree to indemnify and hold harmless Horizon, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Services or violation of these Terms.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles.
Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Services. Your continued use of the Services after such notice constitutes acceptance of the modified Terms.
